Terms & Conditions

Fine Jewellery Manufacturing & Bespoke Services

These Terms and Conditions govern all bespoke jewellery manufacturing, gemstone cutting, recutting, repair, and related services provided by Sartoro & Smycke. By commissioning work, paying a deposit, or delivering materials to us, the client agrees to be legally bound by this Agreement.

1. Bespoke Nature of Work

1.1 All pieces are custom-manufactured and individually crafted. Variations in finish, gemstone characteristics, and minor dimensional tolerances are inherent in handmade fine jewellery and shall not constitute defects.

1.2 Renderings, sketches, CAD images, and samples are artistic representations only and may not reflect exact colour, proportion, or gemstone appearance.

2. Pricing & Quotations

2.1 Quotations are valid for fourteen (14) days unless otherwise stated.

2.2 Prices are subject to change prior to deposit payment due to fluctuations in precious metal and gemstone markets.

2.3 The Company reserves the right to amend pricing where design modifications, material upgrades, or specification changes are requested.

3. Deposit & Payment Terms

3.1 A non-refundable deposit of fifty percent (50%) of the total quoted price is required before any work commences.

3.2 Production will not begin until cleared funds are received.

3.3 The remaining balance, including any approved variations, is due in full prior to delivery, collection, or shipment.

3.4 Failure to remit final payment within thirty (30) days of completion notice may result in:

  • Storage fees,

  • Suspension of delivery,

  • Termination of the contract,

  • Retention of the deposit,

  • Sale of the item to recover outstanding sums where permitted by law.
     

4. Production Timeframe

4.1 Standard production turnaround is six (6) to eight (8) weeks from receipt of deposit and final written design approval.

4.2 Timeframes are estimates only and are not legally binding.

4.3 The Company shall not be liable for delays caused by supplier issues, gemstone sourcing, force majeure events, material shortages, transport disruptions, or circumstances beyond our reasonable control.

5. Client-Supplied Gemstones & Materials

5.1 Clients who supply their own gemstones or materials acknowledge and accept all inherent risks.

5.2 The Company provides no warranty as to the structural integrity, durability, prior treatments, or hidden fractures within client-supplied stones.

5.3 While reasonable professional care will be exercised, the Company expressly disclaims all liability for:

  • Chipping

  • Fracturing

  • Cleavage

  • Breakage

  • Abrasion

  • Loss of colour

  • Loss during setting or handling

  • Damage during cutting or recutting

5.4 The Client warrants that all supplied materials are lawfully owned and free of third-party claims.

5.5 Any valuation stated by the Client must be supported by documentation. Absent written valuation, liability (if any is legally established) shall be strictly limited to the documented fair market value.

6. Gemstone Cutting & Recutting Services

6.1 The Company offers precision gemstone cutting and recutting services at the Client’s request.

6.2 The Client expressly acknowledges that:

  • Carat weight loss is inevitable.

  • Proportions and visual appearance will change.

  • Structural failure may occur without warning due to internal inclusions or stress fractures.

6.3 The Company shall not be liable for weight reduction, aesthetic dissatisfaction, or breakage arising from authorized cutting or recutting.

6.4 Authorization to proceed constitutes full assumption of risk by the Client.

7. Insurance & Limitation of Liability

7.1 The Company maintains commercial insurance coverage in accordance with industry standards.

7.2 Insurance coverage is subject to policy terms, declared values, exclusions, and insurer acceptance.

7.3 To the fullest extent permitted by law, the Company’s total aggregate liability for any claim arising from services provided shall not exceed:

  • The amount actually paid to the Company for the specific service giving rise to the claim; or

  • The insured value accepted by our insurer, whichever is lower.

7.4 The Company shall not be liable for:

  • Indirect or consequential loss

  • Emotional distress

  • Sentimental value

  • Loss of profit

  • Loss of opportunity

  • Market fluctuation in gemstone value

7.5 Nothing in this Agreement excludes liability where exclusion is prohibited by law.

8. Design Approval & Client Responsibility

8.1 Written approval of final designs constitutes acceptance of dimensions, proportions, stone placement, and specifications.

8.2 After approval, modifications may incur additional charges and extend production timelines.

8.3 The Company is not responsible for dissatisfaction arising from approved designs.

9. Cancellation & Refund Policy

9.1 Due to the bespoke nature of the work, all deposits are strictly non-refundable once production has commenced.

9.2 Custom or personalized pieces are non-refundable and non-exchangeable except where required by law.

9.3 If cancellation occurs before production begins, the Company may refund part of the deposit at its sole discretion, less design, sourcing, or administrative costs.

10. Collection, Storage & Shipping

10.1 Full payment is required prior to release of goods.

10.2 Risk transfers to the Client upon:

  • Collection, or

  • Delivery to a third-party courier.

10.3 The Company is not liable for courier delays, loss, theft, or damage once dispatched.

10.4 Items not collected within thirty (30) days of completion notice may incur storage fees.

11. Warranty

11.1 The Company warrants its craftsmanship for [12 months] from date of delivery.

11.2 This warranty excludes:

  • Normal wear and tear

  • Stone loss due to impact

  • Damage from misuse or accident

  • Third-party alterations

  • Damage to client-supplied stones

11.3 Repairs performed by third parties void all warranties.

12. Intellectual Property

12.1 All designs, CAD files, renderings, and creative concepts remain the exclusive intellectual property of the Company unless otherwise agreed in writing.

12.2 Designs may not be reproduced, replicated, or manufactured elsewhere without written consent.

13. Force Majeure

The Company shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, supplier failures, pandemics, governmental restrictions, labour disputes, or material shortages.

14. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of [Insert Country/State].
Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

15. Acceptance

Payment of a deposit, delivery of materials, or written approval of design constitutes full acceptance of these Terms and Conditions.
